Enterprise investment scheme accountancy in London

EIS was set up so investors can put money into smaller and risker businesses by rewarding them with tax breaks. Small firms have often found it hard to attract investors – due to the higher failure rate in a business’ early days – and so incentives, such as this, help to “de-risk” the investment for would-be investors. For entrepreneurs, this can help them secure the investment that they need to get their business off the ground.

Under the terms of the scheme, a typical business can raise up to £5million from individual investors and a maximum of up to £12million over the lifetime of a business. EIS mitigates the impact of any investments that do not work out and will amplify the impact of the investments that do succeed.

Benefits of EIS tax relief include:

    • Tax relief: Through EIS, eligible investors can claim up to 30 per cent income relief on investments up to £1million per year. To claim this you must have sufficient income tax liability and hold the shares for at least three years.
    • Generous contributions allowance: You can invest up to £1million per tax year or up to £2milliuon is anything is invested in knowledge-intensive companies.
    • Capital gains referral: Payment of Capital Gains Tax (CGT) can be deferred when the gain is invested in shares of an EIS-qualifying company.
    • Inheritance tax relief: Any investment in an EIS-qualifying company, should benefit from 100 per cent relief in inheritance tax, provided that the investment is held for two years and at the time of death.
    • Loss relief: If an EIS investment does not work out, you can elect for the amount of loss to be set against any income tax of that year or the previous year.
    • Carry-back: Assuming you have the allowance, you can off-set the tax relief against the previous year’s tax bill and potentially get back the tax you have already paid.

Tax rules can change and benefits will depend on your circumstances. Talk to our EIS consultants in London who will be able to advise you.

Talk to our London EIS specialist accountants

Here at Metric Accountants, we provide comprehensive EIS guidance in London. We can talk you through the relevant steps and considerations, so we can help you identify what is right for your business.

We suggest that you always follow these steps:

    • Advance assurance: We advise that you seek advance assurance from HMRC. This can take HMRC around three to five weeks to process but provides confidence to would-be shareholders that any investment would qualify for EIS.
    • Share approval issue: Before issuing shares and finalising investment, it is crucial to ensure that the company is legally able to issue shares in the company.
    • Issue shares: Once all due diligence has been followed, shares can be issued.

Venture Capital firms trust us – and so can you

Our client companies have successfully secured equity investment from the top VCs, in part because they were able to confirm – with our help – that the investment would qualify for EIS status.

Understandably, VCs need to have absolute comfort that their investments will qualify for EIS, in order to meet their terms of reference. Failure to do so would be catastrophic. That’s why so many VCs are happy for investee companies to get Metric’s help and guidance.

If you want to secure that same degree of comfort for your EIS application, email us now at [email protected].
